MIAMI FRIENDORS
TERMS AND CONDITIONS

Effective Date: March 25, 2026
 

1. GENERAL POLICIES & ADMISSIONS

  • Application & Selection: Submission of an application does not guarantee acceptance or space at any event. Miami Friendors reserves the right to curate all events at its sole discretion to ensure quality, variety, and brand alignment.

  • Exclusivity: No vendor is granted exclusive rights to any product category. While Miami Friendors makes efforts to avoid over-saturation of similar products, we do not guarantee a monopoly on any specific good or service.

  • Payment & Forfeiture: Upon acceptance, vendors will receive an invoice. Payment is due within 24 hours. A final 24-hour grace period may be granted at our discretion. Failure to remit payment within 48 hours of the initial invoice will result in the automatic reopening of the spot to other applicants.

  • Strict No-Refund Policy: All payments are non-refundable, non-transferable, and non-creditable under any circumstances (including but not limited to illness, scheduling conflicts, or vendor dissatisfaction), except as expressly outlined in the "Severe Weather" section.
     

2. LEGAL COMPLIANCE & LIABILITY

  • Sales & Licensing: Vendors operate as independent contractors and are solely responsible for complying with all local, county, and state regulations. This includes maintaining active business licenses, health permits, and the collection/remittance of Florida Sales Tax.

  • Indemnification: The Vendor agrees to indemnify, defend, and hold harmless Miami Friendors, its staff, and the Venue owners from any and all claims, damages, liabilities, and expenses (including attorney’s fees) arising out of the Vendor’s participation, products, or negligence.

  • Assumption of Risk: The Vendor acknowledges that outdoor markets involve inherent risks (weather, uneven terrain, public interaction). By participating, the Vendor voluntarily assumes all such risks. Miami Friendors is not liable for lost, stolen, or damaged inventory, equipment, or personal property.
     

3. NO GUARANTEE OF SALES

  • Performance Disclaimer: Miami Friendors makes no guarantees regarding foot traffic, attendance levels, or vendor sales volume. Vendor fees are not contingent upon event performance, weather conditions, or venue popularity.

  • Marketing Responsibility: While Miami Friendors promotes events, the Vendor acknowledges that their own marketing efforts (social media, newsletters, etc.) are a vital component of their own individual success.
     

4. INTELLECTUAL PROPERTY & PRODUCT AUTHENTICITY

  • Prohibited Goods: The sale of counterfeit, "knock-off," or trademark-infringing merchandise is strictly prohibited. If a vendor is found selling such items, they will be removed immediately without a refund.

  • Disputes: Miami Friendors will not mediate intellectual property or "copycat" disputes between vendors. Vendors agree to resolve such matters independently and off-site. Vendors represent and warrant that they own or have the rights to all products and branding displayed.
     

5. EVENT OPERATIONS

  • Setup & Breakdown: Vendors must check in with a Miami Friendors representative before unloading. Vendors must be fully set up by the time listed in the acceptance email. Early breakdown is strictly prohibited. Vendors must remain for the entire duration of the event. Unauthorized early departure may result in a permanent ban from future markets.

  • Equipment & Safety: Vendors must provide all necessary equipment (tents, tables, chairs, etc.). All tents must be secured with professional-grade weights (minimum 40lbs per leg). Miami Friendors reserves the right to remove any setup deemed a safety hazard.

  • Spot Assignment: Spots are assigned by Miami Friendors staff. No "spot saving" or unauthorized moving is permitted.
     

6. WEATHER & FORCE MAJEURE

  • Standard Rain or Shine Policy: All events are "Rain or Shine" unless officially canceled by Miami Friendors or the Venue.  Credits will be provided in the event of inclement weather. 

  • Severe Weather Exception: If a vendor determines conditions are unsafe, they must email hello@miamifriendors.com at least 24 hours prior to the event to request a one-time transfer to a date within 30 days at the same market. No-shows or late communication result in forfeiture of fees.

  • Force Majeure: Miami Friendors shall not be liable for failure to perform its obligations if such failure is caused by acts of God, pandemics, government mandates, or other causes beyond our reasonable control. In such cases, Miami Friendors may, at its discretion, offer a credit; no cash refunds will be issued.
     

7. CHARGEBACK & DISPUTE POLICY

  • Agreement to Terms: By submitting payment, the Vendor explicitly waives their right to initiate a credit card chargeback for any "No-Show," "Inclement Weather," or "Dissatisfaction with Sales" reasons.

  • Administrative Fees: Should a vendor file a chargeback dispute, Miami Friendors reserves the right to bill the vendor for administrative time spent defending the claim at a rate of $75.00 per hour.
     

8. CODE OF CONDUCT & BRANDING

  • Professionalism: All vendors must maintain a respectful, inclusive environment. Harassment, aggressive selling, or disparaging of staff/other vendors will result in immediate removal without refund.

  • Media Release: By participating, vendors grant Miami Friendors a perpetual license to use photos, videos, and logos from the event for marketing and advertising purposes.

By submitting an application and/or payment for a Miami Friendors event, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions.
